The following terms and conditions (hereinafter referred to as this "Agreement") constitute a valid and legally binding supplementary agreement to the HUAWEI Developers Service Agreement made between you and Huawei (which may be referred to individually as "Party" or collectively as "Parties"). This Agreement and the HUAWEI Developers Service Agreement together govern your access to and use of HUAWEI Partner Paid Services (as defined below). By clicking the "I Agree" button (or any other similar button) below this Agreement or using any services under this Agreement, you are agreeing to be bound by the terms of this Agreement and the HUAWEI Developers Service Agreement as of the date of such acceptance or use ("Effective Date"). If you do not agree with the terms of this Agreement or the terms of the HUAWEI Developers Service Agreement, you shall stop using the services under this Agreement.

Any and all matters unaccomplished herein shall be subject to the HUAWEI Developers Service Agreement. In the event of any conflict between the terms of this Agreement and those of the HUAWEI Developers Service Agreement, the terms of this Agreement shall prevail only to the extent of conflicts in relation to HUAWEI Partner Paid Services.

1 Definitions

Capitalized terms not defined in this Agreement shall have the meaning ascribed to them in the HUAWEI Developers Service Agreement. The following terms shall have the following meanings when used in this Agreement.

  1. "Partner" or "you": means any Developer who accesses and uses the Paid Services.
  2. "HUAWEI Partner Paid Services" or "Paid Services": means the paid services provided by Huawei hereunder through Huawei Platforms. Paid Services fall under the scope of "Services" defined in the HUAWEI Developers Service Agreement. Paid Services include but are not limited to App Promotion on AppGallery, Petal Ads Services, AppGallery Connect Services, and Ability Paid Promotion.
  3. "Place of Registration": means the country or region where Partner was registered.

2 Paid Services and Paid Service Account

2.1 Paid Services

(1) Huawei Platforms provide the following Paid Services:

App Promotion on AppGallery

AppGallery provides app promotion services to bring high-quality exposure.

Petal Ads Services

Petal Ads integrates media for ads display and promotion services, so as to bring high-quality exposure.

Note: Such promotion includes but is not limited to AppAdvisor Promotion and Advanced Push Service.

Ability Paid Promotion

Ability Paid Promotion helps Developers distribute their apps to media portals through the HUAWEI Ability Gallery for more high-quality opportunities to expose their services.

AppGallery Connect Services

AppGallery Connect provides Developers with development, distribution, operations, and analysis services for the entire lifecycle of mobile apps, which helps Developers lower costs and improve efficiency and eventually achieve business success.

(2) You may stop using Paid Services at any time with or without informing Huawei.

2.2 Transferring Data About the Distributed Advertising to the Advertising Data Operator (ORD)

In the case that advertising is distributed on the territory of Russia during your use of Huawei's Paid Services, you agree that Huawei shall transfer the necessary information about the advertising which is distributed by you on the Internet to the ORD within the time limits established by the applicable laws and regulations of Russia, and any service charges arising therefrom shall be borne by you (detailed conditions on the cost of the ORD services will be listed separately).

2.3 Paid Services Account

(1) To use Paid Services, you have to enable Paid Services by providing your valid tax-related information for Huawei to invoice your purchase of Paid Services. After the Paid Services are activated, you will be assigned a Paid Services account (hereinafter, "Paid Services Account") on relevant Huawei Platform. You may purchase Paid Services through your Paid Services Account. You can check your account balance and account details on relevant Huawei Platforms after using Paid Services. Huawei will not send you any bills.

(2) Top-up Payment. You may sign in to Huawei Platforms at any time and follow the instructions therein to top up your Paid Services Account. You may top up your Paid Services Account online and/or offline, depending on your Place of Registration. You may choose to use your top-up for certain kind of Paid Services or for all Paid Services. After topping up your Paid Services Account, you may purchase Paid Services provided by relevant Huawei Platforms

(3) Credit Card Payment. Huawei supports credit card payments in certain countries/regions to Partners upon invitation only at Huawei's sole discretion. An invited Partner may add a valid corporate credit card opened in its name to the "Shared Account" under the Paid Services Account and then purchase Paid Services afterwards. Huawei has the right to stop providing Paid Services immediately if identity theft happens to such a credit card, and you shall indemnify Huawei for any and all losses incurred therefrom. Huawei will debit such credit card one (1) official unit of currency for verification, and refund said debited amount after you delete such credit card from your Paid Services Account. Huawei will charge your credit card when your purchase reaches the US$500 threshold (or an equivalent amount in another currency) or every seven (7) calendar days (whichever is earlier).

(4) Payment Method Priorities. The system will debit payments from the top-up balance of your Paid Services Account first, and then from your credit card if the top-up balance is insufficient. Your purchase of Paid Services will fail if both payment methods are unavailable.

2.3 Payment Security of Paid Services Account

(1) To use Paid Services, you have to enable Paid Services by providing your valid tax-related information for Huawei to invoice your purchase of Paid Services. After the Paid Services are activated, you will be assigned a Paid Services account (hereinafter, "Paid Services Account") on relevant Huawei Platform. You may purchase Paid Services through your Paid Services Account. You can check your account balance and account details on relevant Huawei Platforms after using Paid Services. Huawei will not send you any bills.

(2) Top-up Payment. You may sign in to Huawei Platforms at any time and follow the instructions therein to top up your Paid Services Account. After topping up your Paid Services Account, you may purchase Paid Services provided by relevant Huawei Platforms.

2.4 Payment Security of Paid Services Account

(1) Huawei may freeze or close your Paid Services Account temporarily or permanently depending on specific circumstances if your Paid Services Account is involved in identity theft or fraudulent transactions for payments under this Agreement. If your Paid Services Account is frozen or closed for such reasons, you will not be able to purchase any Paid Services. In addition, you will not be able to open a new Paid Services Account on any Huawei Platforms.

(2) If your credit card company or your issuer bank files a chargeback case to Huawei for any purchase in connection with your Paid Services Account, we may freeze or close your Paid Services Account. You may apply to unfreeze/reopen your account after you remit the payable amount to Huawei.

(3) If above-mentioned payment issues result in the failure of the Paid Services to receive the amount payable for the Paid Services which have already been provided, Huawei has the right to deduct such a payable amount from your Paid Services Account or other payment accounts that you registered on Huawei Platforms.

2.5 Apart from the payment methods for Paid Services as set out in Clause 2.2, Huawei supports post-payment for some Paid Services. You may check the details of relevant service agreements on the Website.

2.6 You shall comply with any and all applicable foreign exchange control policies and regulations when you are making cross-border remittance (if any), and bear any and all handling fees charged by banks.

3 Taxation and Invoicing

3.1 You and Huawei shall respectively bear the taxes levied upon you and Huawei in accordance with applicable tax laws/regulations. Any and all settlement amounts under this Agreement include the value-added tax (VAT), withholding tax (WHT), and digital services tax, except when, according to local law, you are a tax agent who is obligated to withhold the VAT, under which circumstance the charges shall be VAT-exclusive. You shall provide Huawei with correct tax information, such as your qualification as a tax payer and the tax registration numbers of indirect taxes such as VAT, GST, or other taxes of similar nature. Any and all payments that you make to Huawei shall not be subject to any set-off, counter-claim, or required withholding or deduction. If a withholding income tax or deduction is required by applicable laws, you shall remit such a withholding income tax to relevant tax authorities in the full amount and pay to Huawei the amount net of such an income tax. You shall obtain the income tax payment certificate from the competent tax authorities after you pay such a tax or a deduction, and provide said withholding income tax certificate to Huawei within sixty (60) days after said payment. Huawei shall top up your account and issue invoices based on the amount that it received and the withholding income tax amount specified in the aforesaid withholding income tax payment certification.

3.2 If the tax information that you provide to Huawei is incorrect, such as your qualification as a tax payer and the tax registration number of indirect taxes such as VAT, GST, or other taxes of the similar nature, or if you do not or fail to withhold or deduct an amount from your payment to Huawei under this Agreement while such a withholding or deduction should have been performed in accordance with the auditing result, you shall be liable to assume any such withholding or deduction and any and all surcharges and penalties incurred therefrom and levied upon by competent authorities.

3.3 You may apply for an invoice on relevant Huawei Platforms for your Paid Services or for your top-up of your Paid Services Account after you register or update the information necessary for such invoice issuance. Huawei will issue an invoice for you that contains the amount of your order within a specified period after the order completion in accordance with Exhibit B, except that, subject to applicable laws, Huawei shall not be obligated to issue invoices. If you do not request an invoice within fourteen (14) days after the order completion, the system of relevant Huawei Platforms will automatically trigger an invoicing request and the invoice will be issued with the information that you register on said Huawei Platforms. If the invoice contains one or more errors due to your information being outdated, you shall assume any and all losses incurred therefrom. See Exhibit B for invoice types, invoicing dates, and relevant information that you need to provide to Huawei.

4 Refunds

4.1 The Paid Services are non-refundable.

4.2 To get a refund of the balance in your Paid Services Account:

(1) You shall file a refund application to Huawei for the balance of your Paid Services Account after you pay any and all payable amounts. The refund process will be initiated after your application passes Huawei's review. If any invoice has been issued for the pending refund, you shall cooperate with Huawei in handling the corresponding invoice. Should you fail to cooperate in follow-up invoicing, Huawei will deduct any losses arising therefrom before paying the refund.

(2) You shall comply with any and all applicable foreign exchange control policies and requirements of the country or region where you are located during an international refunding process, and you shall assume any and all reasonable costs incurred during such refunding, including but not limited to handling fees charged by banks for international remittance, exchange loss, and Huawei's taxes and fees.

5 Termination of This Agreement

5.1 Upon termination of the HUAWEI Developers Service Agreement by either Party, this Agreement will terminate automatically on the same day. However, the termination of this Agreement by either Party will not result in the termination of the HUAWEI Developers Service Agreement.

5.2 Huawei may terminate this Agreement at any time at its sole discretion by giving you a written notice at least thirty (30) days in advance.

6 Distribution Area and Signing Huawei Entity

Please refer to the clause entitled "Distribution Area and Signing Huawei Entities" in the HUAWEI Developers Service Agreement.

7 Governing Law and Dispute Resolution

Please refer to the clause entitled "Governing Law and Dispute Resolution" in the HUAWEI Developers Service Agreement.

Exhibit A

Please refer to Exhibit A "List of Countries/Regions" of the HUAWEI Developers Service Agreement.

Exhibit B

1. If your Place of Registration and distribution area are the Chinese mainland or you enter into and conclude this Agreement with Shenzhen Huawei Siray Technologies Co., Ltd., Huawei will issue Chinese VAT invoices to you.

1.1 If you are a general taxpayer under the Chinese mainland's VAT system, Huawei will issue a special VAT invoice to you. If you are a small-scale taxpayer or an individual, or if your Place of Registration is outside the Chinese mainland, Huawei will issue a general VAT invoice to you.

1.2 You must provide the following information for Huawei to issue such VAT invoices:

(1) Purchaser's name (the same as the signing entity of this Agreement), tax payer ID, and address.

(2) Information about the account and the bank where the account was opened.

(3) Information about the invoice recipient, including but not limited to the recipient's name, receiving address, contact phone number, and email address.
