The following terms (hereinafter referred to as "this Agreement") constitute a legally binding agreement between you and Huawei regarding SignPal Kit. It is a supplementary agreement to the Agreement on Use of Huawei APIs signed between you and Huawei, which is itself supplementary to the HUAWEI Developers Service Agreement. This Agreement stipulates your legal rights and obligations when you use SignPal Kit. By checking the box in the AppGallery Connect agreement pop-up window to agree to all applicable agreements of AppGallery Connect services (including this Agreement), or by checking the box next to "I have read and agreed to HUAWEI SignPal Kit Service Agreement" below this Agreement, or by using SignPal Kit under this Agreement, it shall be deemed that you have fully understood and accepted the terms of this Agreement, the HUAWEI Developers Service Agreement, and the Agreement on Use of Huawei APIs as of the date of your such acceptance and use (hereinafter, the "Effective Date"). Any and all matters unaccomplished herein shall be subject to the HUAWEI Developers Service Agreement and the Agreement on Use of Huawei APIs. If you do not agree to this Agreement, the HUAWEI Developers Service Agreement, or the Agreement on Use of Huawei APIs, you shall stop using the services under the respective agreement(s).

1. Definitions

Unless otherwise specified in this Agreement, the terms herein shall have the same meanings as those in the HUAWEI Developers Service Agreement and the Agreement on Use of Huawei APIs. Unless otherwise stated, the following term is defined as below:

1.1 "SignPal Kit" (hereinafter, "this Service") means the service provided by Huawei that allows Developers to generate sign language (Chinese National Sign Language only at present) on the cloud and then send them to users' smart devices. Developers may use this Service to convert inputted text into natural and fluent sign language gestures in real time. This Service is suitable for use in various accessibility scenarios, such as everyday communication, education and learning, media content creation, and conference live streaming.

2. Rights and Obligations

2.1 Your rights and obligations

1. You may use the API, SDK, and websites provided by this Service to create sign language content for the apps developed by you. Huawei will assign the following app identifiers to each of your apps that use this Service: an APP ID, APP SECRET, project_id, key_id, private_key, and sub_account.
2. You shall not use this Service to generate information (including text, graphics, images, photos, and voice) containing any obscene, pornographic, objectionable, or defamatory content, or any content that is in violation of relevant laws and regulations.
3. You must identify yourself in the sign language content generated through this Service by displaying your actual company name, app name, or brand name in such content, thereby ensuring that End Users know that the content comes from your apps.
4. You acknowledge and agree that the sign language content generated by your apps is controlled and managed by you and not by Huawei and that you shall bear full responsibility and obligations for any data or content that you generate through this Service.
5. You agree and undertake not to attack or interfere with the networks or servers of this Service, or otherwise interrupt the use of this Service by other Developers.
6. You shall provide Huawei with the usage scenarios of your Products so that Huawei may, at its own discretion, provide targeted solutions for your Products.
7. If you have any model customization or 3D human model actuation and visualization requests, go to Support > Customer Service > Submit ticket online, select the relevant category, and submit your ticket. Huawei will get back to you as soon as possible.
8. This Service is available only in the Chinese mainland, Hong Kong (China), Macao (China), and Taiwan (China), and its availability in any particular location is not guaranteed. You shall define the scope of use of this Service independently and accept responsibility for complying with any applicable laws, including but not limited to any local laws.
9. Currently, this Service supports Chinese Sign Language only.
10. After signing this Agreement, you may use this Service through its SDK. If you intend to use this Service to produce media content (including but not limited to sign language videos, live streams, and subtitles), you shall enter your certificate information and upload the required qualification certificates. After your qualification certificates are approved, you may use the media content creation capability of the sign language service.
11. Currently, the Service is provided to you for free. However, there is a limit to Service usage by your apps. If the usage exceeds this limit, please go to Support > Customer Service > Submit ticket online, and submit a request to continue using the Service. Huawei will get back to you as soon as possible.

2.2 Huawei's rights and obligations

1. Huawei will analyze the sign language content generated by your apps in order to ensure the quality of this Service, add sign language words and expressions to the corpus, and improve its sign language interpretation service.
2. Huawei reserves the right to delete or restrict your right to use this Service.
3. Huawei reserves the right to update the API and SDK of this Service, during which we comply with software design principles to ensure compatibility. However, in special circumstances, you may need to modify or upgrade your apps to use the updated API and SDK, for which all associated costs shall be borne by you.
4. Huawei reserves the right to terminate your use of this Service if it has reasonable grounds to believe that any content you generate using this Service violates any applicable laws and/or regulations or any terms of this Agreement.
5. Huawei may collect diagnostic information about your use of this Service to help improve it.
6. If this Service has to be suspended for system maintenance or in order for Huawei to update its API, SDK, or website, Huawei will do its best to notify you of such suspension on the Website as early as possible. However, Huawei cannot guarantee that this Service will be provided without interruptions or delays and shall not bear responsibility for any losses caused to you due to system maintenance or updates to the API, SDK, or websites.
7. Huawei will respond to your qualification review application as soon as possible but does not undertake that it will review your application without delay.

3. Privacy

3.1 You acknowledge and agree that Huawei will act as your data processor and process End Users' Personal Data in accordance with the AppGallery Connect Data Processing Addendum (which is an integral part of this Agreement and the HUAWEI Developers Service Agreement) when you use this Service.

3.2 You shall develop public privacy policies that comply with applicable laws and regulations and display said privacy policies in a prominent manner in your apps or services. In the privacy policies, you shall accurately disclose your use of this Service and how you and this Service collect and process the Personal Data of End Users. In addition, you shall obtain the consent of End Users for your apps to use their Personal Information.

3.3 You acknowledge and agree that you are the Personal Information processor (or data controller under the GDPR) of all the information generated by third-party sign language services, and that you shall assume full responsibility and obligations for controlling and managing such information in accordance with applicable laws and regulations. As your entrusted Personal Information processor (or data processor under the GDPR), we will strictly follow your instruction to process and store such information.

3.4 You hereby warrant that the sign language content you produce for End Users does not contain sensitive Personal Information or End Users' confidential information. If the sign language content you produce for End Users contains any Personal Information, you warrant that your collection, use, transmission, and processing of such information conforms to any and all applicable personal information and data protection laws.

4. Termination of This Agreement

4.1 If either Party terminates the HUAWEI Developers Service Agreement or the Agreement on Use of Huawei APIs, this Agreement shall automatically terminate on the same day.

4.2 You may terminate this Agreement by disabling this Service for all your apps.

4.3 If Huawei decides to discontinue this Service or make major changes to it, Huawei reserves the right to terminate this Agreement after informing you in advance.

4.4 Termination of this Agreement does not entail automatic termination of the HUAWEI Developers Service Agreement and Agreement on Use of Huawei APIs signed by and between you and Huawei.

5. Distribution Area and Signing Huawei Entity

You acknowledge and agree that the provisions regarding the distribution area and the signing Huawei entity under this Agreement shall be subject to the Clause of "Contracting Entity" in the Agreement on Use of Huawei APIs.

6. Governing Law and Dispute Resolution

You acknowledge and agree that the provisions regarding the governing law and dispute resolution under this Agreement shall be subject to the Clause of "Governing Law and Dispute Resolution" in the HUAWEI Developers Service Agreement.
